All content and materials available on FlowClick, including but not limited to text, graphics, website name, code, images, and logos, are the exclusive property of FlowClick and its content suppliers. You may not reproduce, redistribute, transmit, or display any content from FlowClick without written permission. FlowClick grants you a limited license to use the service for its intended purpose. This license does not include the right to modify, reproduce, or create derivative works. You retain ownership of any content you create using FlowClick, and you grant us a worldwide, non-exclusive license to use, display, and distribute your content for the purpose of providing and improving our services.
FlowClick strives to maintain 99.9% uptime for the service, but we do not guarantee uninterrupted or error-free service. We may perform scheduled or unscheduled maintenance that could result in temporary service interruptions. FlowClick is not liable for any damages resulting from service unavailability, data loss, or corruption. We recommend that you maintain regular backups of your data. FlowClick reserves the right to modify, suspend, or discontinue the service or any feature at any time with notice.
To the fullest extent permitted by law, FlowClick and its officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or other intangible losses, even if FlowClick has been advised of the possibility of such damages. In no event shall FlowClick's total liability exceed the fees you have paid to FlowClick in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain damages, so some of these limitations may not apply to you.
Either party may terminate your account and access to FlowClick at any time, for any reason, with or without notice. Upon termination, your right to use the service ceases immediately. FlowClick may retain certain information in accordance with its Privacy Policy and applicable law. You remain responsible for any charges incurred before termination. In the event of termination by FlowClick for violation of these terms, no refund will be provided.
These Terms of Service are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. You agree that any dispute arising from or relating to these terms shall be subject to the exclusive jurisdiction of the federal and state courts located in California, and you consent to the personal jurisdiction and venue of these courts.
FlowClick reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Your continued use of FlowClick after any such modifications constitutes your acceptance of the modified terms. If you object to any modification of these terms, your sole recourse is to cease using the service. We encourage you to review these terms periodically to remain informed of any changes.
